A person familiar with the negotiations spoke to The Associated Press on condition of anonymity.
Osweiler appeared in eight games with seven starts last season for the Broncos. The 6-foot-7, 240-pound QB spent the four years with Denver after being drafted in the second round in 2012 out of Arizona State.
He threw for a 1,967 yards and 10 touchdowns with six interceptions last season.
Osweiler's deal is worth $72 million over four years, NFL Media reported. The Broncos had reportedly offered him a three-year, $45 million contract.
The Texans were looking for an upgrade at the position after Brian Hoyer's struggles last season.
The signing could turn up the heat on the Jets to strike a deal quickly with free agent quarterback Ryan Fitzpatrick. With the defending champion Broncos now in need of a quarterback, Fitzpatrick, who passed for 3,905 yards and 31 touchdowns last season, is one of the more attractive options available.
