Us Weekly says Penn proposed in Paris last month -- though the stars have yet to confirm the report.
An insider tells Us that the couple "decided to take their relationship to the next level."
Theron, 39, and Penn, 54, first went public with their romance in December 2013.
Penn has already been married twice -- first to Madonna from 1985 to 1989, and then to "House of Cards" actress Robin Wright from 1996 to 2010. Penn and Wright have two children together.
In 2012, Theron revealed she had adopted a son named Jackson.
Theron will next appear in the film "Dark Places," alongside Chloë Grace Moretz Christina Hendricks and Nicholas Hoult.
Penn, meanwhile, stars in the 2015 film "The Gunman" with Idris Elba and Javier Bardem.
