1. Acceptance of Official Rules.

By entering this Sweepstakes operated on the CBSnews.com Web site accessible at the domain "CBSnews.com" (the "CBSnews.com Service"), you hereby accept and agree to these official rules (the "Official Rules") of this Sweepstakes, and the decisions of the Administrator in connection with this Sweepstakes, whose decisions are final.



2. Eligibility.

This Sweepstakes is offered and open to persons who are: (a) Registered Users, for purposes of these Official Rules, "Registered User(s)" means a person that has successfully completed the registration form and has obtained a User Identification ("ID") and associated password ("Password") on one or more of the following Websites: CBS.com, CBSnews.com, CBS SportsLine.com, UPN.com, ETonline.com, NCAAsports.com, NFL.com, SuperBowl.com and/or PGATOUR.com; (b) legal residents of one (1) of the fifty (50) United States or District of Columbia; and (c) at least 18 (or age of majority if greater than 18) or older at the date of entry in this Sweepstakes. Employees, officers, directors (including immediate family members and members of the same household) of the Sweepstakes Entities, their parents, affiliated and subsidiary companies, advertising and promotion agencies, legal and financial advisors and any and all other companies associated with this Sweepstakes are not eligible to participate in this sweepstakes. For purpose of the foregoing "immediate family" means parents, spouses, children, siblings or any members of the same households of such employees and directors. This Sweepstakes is void outside of the U.S., in Puerto Rico, all US territories and possessions and where prohibited by law. *Note: If you are not a Registered User you may become a CBSnews.com Registered User and obtain a CBSnews.com ID and CBSnews.com Password by completing the CBSnews.com Service registration form by going to www.cbsnews.com/stories/2006/09/11/allaccesspass/main1999055.shtml on the CBSnews.com Service. There is no fee or charge to you to become a Registered User of any of the sites noted.



3. Promotional Period/Weekly Entry Periods:
The Sweepstakes begins on February 21, 2007 at 8:30 AM Eastern Time (ET) and ends at 10:00 AM ET on April 3, 2007 (the "Promotional Period".) Weekly Entry Period: There will be six (6) Weekly Entry Periods. See Weekly Entry Period chart at conclusion of these rules for the starting and ending dates and times for each Weekly Entry Period. Sponsor may at its sole discretion shift any Weekly Entry Period to different days and times during the Promotion Period. 4. Entry:

There are two ways to get entries: 1) initial registration for this Sweepstakes earns one (1) entry in the grand prize drawing; 2) up to six (6) additional entries can be earned by correctly answering each of the weekly Dave Price: All Access Pass questions. One question will be asked on six (6) consecutive Wednesday broadcasts of The Early Show beginning February 21, 2007. Registered participants may submit their answer for each week's question during the corresponding Weekly Entry Period. To enter go to www.cbsnews.com/stories/2006/09/11/allaccesspass/main1999055.shtml during the Promotion Period and follow the instructions to complete and submit the Sweepstakes entry form, including, without limitation, submitting your ID and Password. The maximum number of entries a Registered User can receive is seven (7); one (1) for registration and up to six (6) additional entries, one (1) for each correctly answered question. Entries submitted subsequent to a Registered User's first entry per each weekly question are void. The use of automated or third party entry software is prohibited. The Early Show broadcasts are subject to preemption and schedule changes. Please check local television listings for broadcast dates/times in your area. If for any reason a Registered User is unable to view a Wednesday broadcast of The Early Show during the Weekly Entry Period, the weekly Dave Price: All Access Pass questions and video clips containing answers will be available during the remainder of the Promotion Period at www.cbsnews.com/stories/2006/09/11/allaccesspass/main1999055.shtml. "Releasees" (as defined below) assume no responsibility for incorrect or inaccurate entry information, human error or technical malfunctions, lost/delayed data transmission, omission, interruption, deletion, defect, line failures unauthorized access of any computer equipment or software, or any combination thereof. Entries become the property of the Sponsor and will not be acknowledged or returned. By entering, entrants agree to be bound by these rules & consent to use of their names &/or photographs for advertising or publicity purposes without further consideration, except where prohibited by law.



5. Winner Selection/Notification/Odds of Winning:

A random drawing to select a potential Grand Prize winner will be conducted on or about April 3, 2007 using all eligible entries received during the Promotion Period. The drawing will be conducted by Marden-Kane Inc., an independent judging organization whose decisions are final on matters relating to this sweepstakes. Using only the daytime telephone numbers and corresponding entrant names on eligible entries, Marden-Kane will attempt to contact a potential Grand Prize winner by telephone beginning April 3, 2007 on or about Noon ET. Any subsequent call attempts will continue until a potential Grand Prize winner is contacted directly. Upon successful telephone contact the potential Grand Prize winner will be required to sign and properly execute the following documents and return them via facsimile (and subsequently by mail) to Marden-Kane within 24 hours of receipt: (1) an Affidavit of Eligibility and Liability Waiver; (2) where legal, a consent to publicity. If any documents sent to the potential Grand Prize winner by any means are returned as undeliverable or if the potential Grand Prize winner fails to properly execute and return all documents described herein in the time noted, or is found not to be eligible or not in compliance with these Official Rules the prize will be forfeited and an alternate potential Grand Prize winner will be contacted in accordance with these Official Rules, even if the disqualified potential Grand Prize winner's name is shown and or announced on air at the sole discretion of Sponsor. Odds of winning depend upon number of eligible entries received.



6. Grand Prize:

A Trip for Two to New York City to attend the American Theatre Wing's 61st annual Tony Awards? ceremony on Sunday June 10, 2007. Grand Prize consists of: i) round-trip coach air transportation for winner and guest to New York, NY area from a single major U.S. airport nearest winner's home; ii) two (2) nights double occupancy hotel accommodations; iii) round-trip ground transfers in New York City from airport to hotel; iv) two tickets to attend the Tony Awards ceremony ("Grand Prize"). All other expenses relating to acceptance of Grand Prize not explicitly stated herein, including but not limited to taxes, meals, beverages and gratuities are responsibility of winner and guest. Certain travel restrictions may apply. Estimated retail value of prize is $3,500. Actual value may vary based on departure city. Specifics of prize package are subject to availability and at Sponsor's sole discretion. If Grand Prize winner lives within 150 miles of New York, NY, ground transportation may be substituted for air transportation at Sponsor's sole discretion, and any difference between the two will not be awarded. Complete terms and conditions of travel package will be furnished with prize notification. Travel must be made through Sponsor's agent on a carrier of Sponsor's choice. Grand Prize winner and guest must travel on the same itinerary and provide all necessary travel documents. If guest of Grand Prize winner is under 18 years of age (or age of majority if greater than 18 in place of residency), he/she must be accompanied by his/her parent or legal guardian. Guest (or if minor, his/her parent/legal guardian) must sign and return publicity release (unless prohibited) and an affidavit of liability release prior to issuance of travel documents. If for any reason, the Grand Prize winner cannot take the trip to be in New York City on date specified by the Sponsor, the Sponsor shall have no further obligation to the Grand Prize winner and guest other than to supply the trip to New York as described, minus attendance at the Tony Awards Ceremony within six (6) months from date of prize notification.



7. Certain Prize Restrictions.

No assignment, transfer, conversion to cash or cash redemption or substitution of the Grand Prize is permitted, except Administrator reserves the right to substitute the Grand Prize with a prize of comparable or greater value should the Grand Prize become unavailable. Grand Prize is solely for personal use and may not be used in conjunction with any other promotion. Sweepstakes Entities, and/or any other relevant party, reserve the right to disqualify any entrant who engages in a non-sportsmanlike or disruptive manner, or with intent to annoy abuse, threaten or harass any Sweepstakes Entity. All other costs and expenses not specified herein, if any, are the responsibility of Grand Prize winner. All prize details are at the sole discretion of the Sweepstakes Entities.



8. Grand Prize Taxes.

All federal, state or other tax liabilities arising from this Sweepstakes will be the sole responsibility of the Grand Prize winner.



9. Publicity Release Terms.

Except where prohibited by law, the Grand Prize winner's acceptance of the Grand Prize constitutes permission for the Sweepstakes Entities to use Grand Prize winner's name, photograph, likeness, statements, biographical information, voice, and address (city and state) worldwide and in all forms of media, in perpetuity, without further compensation.



10. Improper Conduct.

Administrator, in its sole discretion, may disqualify any entrant from participation in the use of any or all portions of this Sweepstakes, and refuse to award Grand Prize, if entrant engages in any conduct Administrator deems to be improper, unfair or otherwise adverse to the operation of the Sweepstakes or detrimental to other entrants of the Sweepstakes. Such improper conduct, includes, without limitation, falsifying personal information required during entrant registration or Grand Prize claim, violating any term or condition stated herein, accumulating entries through methods such as automated computer scripts or any other programming techniques, allowing others to use entrant's personal information for the purpose of accumulating entries, or intentionally trying to defraud, reverse engineer, disassemble or otherwise tamper with the computer programs in connection with this Sweepstakes. Entrants agree that Administrator may void any part of Grand Prize that an entrant may have won and/or require the return of any part of any Grand Prize that entrant may have won as a result of such improper conduct. Entrants further acknowledge that any forfeiture of Grand Prize and/or return of any Grand Prize shall in no way prevent Administrator from pursuing other avenues of recourse such as criminal or civil proceedings in connection with such conduct. WARNING: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SWEEPSTAKES ENTITIES RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR SUCH ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.



11. Integrity of Sweepstakes.

If, for any reason, the Sweepstakes is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which Administrator, in the sole opinion of Administrator, deems could corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Administrator reserves the right at its sole discretion to cancel, terminate, modify or suspend this Sweepstakes and select the Grand Prize Winner from entries received prior to the action taken or in such other manner as Administrator may deem fair and appropriate.




12. Lost or Corrupted Entries.

The Sweepstakes Entities, and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, lost, late, incomplete, corrupted, stolen, misdirected, illegible or postage due entries or mail if applicable; or for any computer, telephone, cable, network, satellite, electronic or Internet hardware or software malfunctions, unauthorized human intervention, or the incorrect or inaccurate capture of entry or other information, or the failure to capture any such information. The Sweepstakes Entities, and their parents, affiliated and subsidiary companies, advertising and promotion agencies, are not responsible for any incorrect or inaccurate information, whether caused by end users of the CBSnews.com Service, tampering, hacking, or by any of the equipment or programming associated with or utilized in this Sweepstakes and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the Sweepstakes.



13. Damaged Property.

Sweepstakes Entities, and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, injury or damage to entrants' or to any other person's computer or property related to or resulting from participating in this Sweepstakes or downloading materials from this Sweepstakes.



14. Sweepstakes Errors.

The Sweepstakes Entities, and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, errors and/or ambiguity: (a) in the Sweepstakes; (b) in any related advertising or promotions of this Sweepstakes; and/or (c) in these Official Rules. In the event of any ambiguity(s) or error(s) in these Official Rules, Administrator reserves the right to modify these Official Rules for clarification purposes or to correct any such error(s) without materially affecting the terms and conditions of the Sweepstakes.



15. Grand Prize Winner and Grand Prize.

The Sweepstakes Entities, and their parents, affiliated and subsidiary companies, advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, the selection and announcement of Grand Prize winner, or the distribution of the Grand Prize, the acceptance/possession and/or use/misuse of any part of the Grand Prize and/or any injury or damage to entrant's or third person's property related to or resulting from any part of the Grand Prize or any part of this Sweepstakes.



16. Release and Indemnity.

Each entrant in this Sweepstakes hereby releases and agrees to hold harmless the Sweepstakes Entities and their parents, affiliates, subsidiaries, advertising and promotion agencies and their respective directors, officers, employees, representatives and agents from any and all liability for any injuries, loss or damage of any kind to person, including death, and property, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of the Grand Prize, participation in this Sweepstakes and participation in any activity related to this Sweepstakes.



17. Limitation of Liability.

IN NO EVENT WILL THE SWEEPSTAKES ENTITIES, THEIR PARENTS, AFFILIATES, SUBSIDIARIES, RELATED COMPANIES, THEIR ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF THE SWEEPSTAKES OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM THE SWEEPSTAKES. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.




18. Disclaimer of Warranties.

THE SWEEPSTAKES & GRAND PRIZE ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.



19. Identity Disputes.

In the event of a dispute as to the identity of Grand Prize winner based on an e-mail address, the winning entry will be declared made by the Authorized Account Holder of the email address submitted at time of entry. For purposes of these Official Rules, "Authorized Account Holder" is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.



20. Governing Law and Jurisdiction.

This promotion is governed by US law and is subject to all applicable federal, state and local laws and regulations. Void where prohibited. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and Administrator in connection with this Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of New York, U.S.A., without giving effect to the conflict of laws rules thereof shall take place in the State of New York, in the City of New York, County of New York.
