DAVE PRICE PRIMETIME CHALLENGE SWEEPSTAKES

NO PURCHASE NECESSARY.

SWEEPSTAKES OPEN TO LEGAL RESIDENTS OF THE U.S. ONLY 18 OR OLDER.

VOID IN PUERTO RICO AND WHERE PROHIBITED. U.S. LAW GOVERNS THIS SWEEPSTAKES.


1) How To Register: This promotion begins at 8:00 a.m. Eastern Time (ET) on February 23, 2004 and ends at 12:01 a.m. ET on March 2, 2004 ("Promotion Period".) You must register and establish a username and password in order to participate in this Sweepstakes (registration is free). To register visit the Dave Price Primetime Challenge Web site ("Web site") at www.CBSNews.com/earlyshow anytime during the Promotion Period, complete the entire online registration form and successfully submit same in order to be eligible to participate. Limit one registration per person/e-mail address.

2) How to Receive Entries: There are two ways to get entries: 1) initial registration earns 1 (one) entry in grand prize drawing; 2) up to 6 (six) additional entries can be earned by correctly answering multiple choice questions about Dave Price and CBS primetime programming. One question a day will be revealed on the Web site at 7 AM ET from February 24 through February 28 and again on March 1, 2004. Clues to obtain the correct answers will be posted on the Web site on February 28 and March 1, 2004. The maximum number of entries a registered player can receive is 7 (1 for registration and up to 6 additional entries, one for each correctly answered question.) CBS programming subject to preemption and scheduling changes. In the event a program containing the answer to a question is preempted, the questionnaire will contain a means for registrants affected by preemption to earn an entry. Preemption claim subject to verification. The use of automated or third party entry software is prohibited. Entries submitted subsequent to an entrant's first entry are void. "Releasees" (as defined below) assume no responsibility for incorrect or inaccurate entry information, human error or technical malfunctions, lost/delayed data transmission, omission, interruption, deletion, defect, line failures unauthorized access of any computer equipment or software, or any combination thereof. Entries become the property of the Sponsor and will not be returned. By entering, entrants agree to be bound by these rules & consent to use of their names &/or photographs for advertising or publicity purposes without further consideration, except where prohibited by law.

3) Winner Selection and Notification: A random drawing to select a potential grand prize winner will be conducted on or about March 2, 2004 under the supervision of Marden-Kane Inc., an independent judging organization whose decisions are final on matters relating to this sweepstakes. Using only the daytime telephone numbers and corresponding entrant names on eligible entries, Marden-Kane will attempt to contact a potential grand prize winner by telephone beginning March 2, 2004 on or about 10 AM ET. Any subsequent call attempts will continue until a potential grand prize winner is contacted. No voicemail or answering machine messages will be left. Successful telephone notification will be followed by written confirmation via overnight mail and/or facsimile. The potential grand prize winner will be required to sign an affidavit of eligibility and liability release and where legal, a publicity release and return same, properly executed via fax within 24 hours of issuance followed by the properly executed documents returned to Marden-Kane via overnight mail using supplied, pre-paid mailer. Failure by the potential winner to respond or return documents as specified, or if prize notification forms are returned as undeliverable the entry will be disqualified and if time allows, an alternate winner selected. Odds of winning depend upon number of eligible entries received.


4) Prize: One (1) Grand Prize: A 3-Day/2-Night trip to New York City and a visit to The Early Show set where the winner will meet Dave Price. Prize consists of round-trip coach air transportation for winner and guest to New York, NY from a single major U.S. gateway airport nearest winner's home (as determined by Sponsor), double occupancy deluxe hotel accommodations for two (2) nights, a visit to The Early Show set to meet Dave Price, two tickets to a Broadway show and $500. Trip subject to producer's production schedules. If The Early Show production is canceled, rescheduled (or, if for any reason, Sponsor is unable to provide the visit to The Early Show set and/or visit with Dave Price) or the Grand Prize winner cannot take the trip to be in New York on a date specified by the Sponsor, the Sponsor shall have no further obligation to the Grand Prize winner and guest other than to supply the trip to New York as described, minus The Early Show set and Dave Price visit within one (1) year from date of prize notification. All other expenses relating to acceptance of Grand Prize not explicitly stated herein, including but not limited to taxes, meals, beverages, alcoholic beverages and gratuities are responsibility of Grand Prize winner and guest. Certain travel restrictions may apply. Estimated retail value of grand prize is $2,500. Actual value may vary based on place of departure and dates of travel. Specifics of Grand Prize travel package and Broadway tickets are subject to availability and are at Sponsor's sole discretion. Complete terms and conditions of Grand Prize trip will be furnished with prize notification. Travel must be made through Sponsor's agent on a carrier of Sponsor's choice. Winner and guest must travel on the same itinerary and provide travel documents suitable for travel. If guest of Grand Prize winner is under 18 years of age, he/she must be accompanied by his/her parent or legal guardian. Guest (or if minor, his/her parent/legal guardian) must sign and return publicity release (unless prohibited) and an affidavit of liability release prior to issuance of travel documents. Prize is non-transferable; no substitutions or cash awards allowed, except at the discretion of the Sponsor in which case a prize of equal or greater value will be awarded. Taxes are the responsibility of the winner. Each participant agrees to release, discharge, indemnify and hold harmless the Sponsor, its parent company and its affiliates, subsidiaries, advertising and promotion agencies, including Marden-Kane, and all of their respective employees, directors, officers, shareholders & agents (collectively, "Releasees") from any & all claims or liability in connection with participation in this promotion or acceptance or use of any prize. Acceptance of prize constitutes permission for Sponsor and its designees to use the name, address and likeness of winner and guest for advertising and promotional purposes without additional compensation unless prohibited by law.

5) Internet: If for any reason this sweepstakes is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this sweepstakes, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the sweepstakes. Should this promotion be terminated, Sponsor reserves the right to select winner in a random drawing from among all eligible, non-suspect entries received as of the action requiring such termination. Releasees are not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to participant's or any other person's computer relating to or resulting from participation in this sweepstakes or downloading any materials in this sweepstakes. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. In the event of a dispute as to the identity of an online winner based on an e-mail address, the winning entry will be declared made by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

6) Eligibility: Open to legal residents of the U.S. (excluding Puerto Rico), who are 18 years of age or older at time of entry, except employees or agents of Sponsor, administrator, and their respective parent companies, subsidiaries, divisions, affiliates, advertising agencies and members of their immediate families. Void in Puerto Rico & wherever prohibited. Subject to all applicable federal, state & local laws & regulations. U.S. law governs this sweepstakes.
